Introduction

Accessing, browsing, and using the website https://trustedconnectivity.valid.com (hereinafter referred to as the “Website”) implies express and unconditional acceptance of all the terms of these terms and conditions (the “Terms of Use”), having the same validity and effectiveness as any written and signed contract.

Purpose and Acceptance of the Terms of Use

These Terms of Use govern access to, browsing, and use of this Website, without prejudice to Valid’s right to modify its presentation, configuration, and content, as well as the conditions required for its access and/or use. Accessing and using the Website’s content after the entry into force of any modifications or changes constitutes acceptance of such modifications.

Valid reserves the right to modify the terms and conditions outlined herein, in whole or in part, by publishing any changes in the same manner as these Terms of Use or through any other form of communication directed at users.

Similarly, users are informed of their rights and obligations concerning the content displayed on the Website, logos and trademarks used, and any responsibilities that may arise from accessing the Website.

For the purposes of interpreting these Terms of Use, it is understood that a person becomes a user when they accept the Terms of Use and the Privacy Policy outlined on the Website, simply by visiting it.

 

Intellectual and Industrial Property Rights

Valid owns or, as applicable, holds the necessary licenses for the exploitation rights of the intellectual and industrial property of the Website, as well as all the content offered therein, including the platform itself, texts, photographs or illustrations, logos, trademarks, graphics, designs, interfaces, or any other information or content, and the services available through it.

In no case shall it be understood that access, browsing, and use of the Website by the user implies any waiver, transmission, license, or full or partial transfer of such rights by Valid. Users are granted the right to use the content of the Website within a strictly domestic scope, solely for the purpose of using the Website, in accordance with these Terms of Use.

References to registered trademarks or trade names, or other distinctive signs, whether owned by Valid or third-party companies, imply a prohibition on their use without Valid’s or their rightful owners’ consent. At no time, unless expressly stated otherwise, does access, browsing, or use of the Website and/or its content confer any rights to the user over the distinctive signs included therein.

All intellectual and industrial property rights to the Website’s content are reserved, and it is expressly prohibited to modify, copy, reproduce, publicly communicate, transform, or distribute, by any means and in any form, all or part of the content included on the Website for public or commercial purposes without prior, express, and written authorization from Valid or, as applicable, the holder of the corresponding rights.

If the user sends any type of information to Valid through any of the channels provided for this purpose, the user declares, guarantees, and accepts that they have the right to do so freely, that such information does not infringe any intellectual or industrial property rights, trade secrets, or any other rights of third parties, and that such information is not confidential or harmful to third parties.

The user acknowledges their responsibility, holding the provider harmless for any communication provided personally or on their behalf, including but not limited to its accuracy, legality, originality, and ownership.

If the user becomes aware of the existence of any unlawful, illegal, or content contrary to the law that may constitute an infringement of intellectual and/or industrial property rights, they must immediately notify Valid through the email trustedconnectivity@valid.com so that Valid can take appropriate measures.

Similarly, if any user or third party considers that any of the Website’s content violates their intellectual and/or industrial property rights or any other rights, they must send a communication to trustedconnectivity@valid.com with the following information: (i) identifying details and contact information of the claimant or their legal representative; (ii) documentation accrediting their status as the holder of the allegedly infringed rights; (iii) a detailed explanation of the allegedly infringed rights and their exact location on the Website; and (iv) an express declaration by the claimant that the use of the content has been carried out without the consent of the holder of the allegedly infringed rights.

Accessing or using the Website for illegal or unauthorized purposes, with or without economic intent, is prohibited and, consequently, the consequences will be the sole responsibility of the user. Failure to comply with any of these obligations by the user may lead to Valid taking appropriate legal action in the exercise of its rights or obligations, without the possibility of compensation for any damages caused.

If the user finds any information or content on the Website that may be inappropriate, contrary to current regulations, or against the conditions set forth on the Website, they are requested to immediately inform Valid through the available communication channels.

Valid does not control the contents, privacy policies, or practices of third-party websites and assumes no responsibility for them. The user acknowledges and accepts that Valid will not be responsible for (i) the availability of third-party websites or external resources, and does not endorse any type of advertising, products, or other materials offered through such websites or resources; (ii) any losses or damages that the user may incur as a result of the availability of such third-party websites or resources, or the credibility given to the completeness, accuracy, or existence of any type of advertising, products, or other materials offered through those websites or resources.

On the other hand, any user wishing to create links to Valid’s website from their own sites must comply with the following conditions:

  • The link must only point to the page and may not reproduce it in any form.
  • No frames or borders may be created around the portal or used to display it through different internet addresses or together with foreign content, in a way that causes, or could cause, errors or confusion among users about the origin of the service or its contents, implying an unfair comparison or imitation, exploiting the reputation, brand, or prestige of Valid, or doing so in any other way prohibited by law.
  • No false or inaccurate statements may be made from the website containing the link about Valid, the quality of its services, or about its partners, employees, or clients.

However, Valid declares it has adopted all necessary measures to ensure the functioning of the Website and minimize system errors.

Applicable Legislation and Competent Jurisdiction

If the applicable regulations allow the parties to submit to a specific jurisdiction, any legal issues arising from or related to this Website will be governed by the current Spanish legislation, and the dispute will be submitted to the Courts of Madrid.
